Contract drafting

Clear agreements that reflect how your business works.

Waymakers supports businesses operating in and around the property sector with commercial contract drafting, review and negotiation.

Whether a business is entering a new commercial relationship or revisiting an existing agreement, Waymakers works through its objectives and the terms that matter.

Advice considers the services being provided, each party’s responsibilities, payment arrangements, liability, termination and what happens if the relationship changes or a dispute arises.

The aim is to produce an agreement that accurately reflects the commercial arrangement and gives the parties a clear understanding of their obligations.

How the work runs

Advice starts with what the business is trying to achieve and what would go wrong if the relationship broke down. The document is then written to that, rather than adapted from a template that was drafted for someone else.

Where an agreement already exists, it is reviewed against the same questions: does it say what the parties think it says, who bears each risk, and what happens on termination or dispute. Negotiation is handled with the other side directly where that is wanted.

The team's experience spans private practice and in-house roles, so advice is framed around the commercial decision the business has to make, not just the legal position.

When a contract goes wrong

Contract disputes are handled by the same team that drafts them. Advice covers the strength of the position, the practical options, negotiation, a formal claim, or walking away, and the likely cost of each, before anything is committed to.

Fees

The scope of work and the basis of charging are agreed before anything starts. Drafting and review of a defined agreement is usually offered as a fixed fee; negotiation and disputes are charged on an hourly basis or by agreed stages.
